Terms of Service

1. Agreement to Terms

By accessing or using Nebamarket POS ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

Nebamarket POS is a cloud-based point of sale system designed for retail businesses. The Service includes:

  • Sales transaction processing
  • Inventory management
  • Customer relationship management
  • Financial reporting and analytics
  • Multi-branch management capabilities
  • Payment gateway integrations

3. User Accounts

3.1 Account Creation

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

3.2 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent or illegal activities.

4. Subscription and Payment

4.1 Subscription Plans

The Service is offered on a subscription basis. Different plans may be available with varying features and pricing.

4.2 Payment Terms

  • Subscription fees are billed in advance on a recurring basis
  • Payment is due immediately upon invoice
  • All fees are non-refundable except as required by law
  • We may change our fees with 30 days' notice
  • Failure to pay may result in service suspension

4.3 Free Trial

We may offer a free trial period. At the end of the trial, your subscription will automatically begin unless you cancel.

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose
  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Transmit viruses or malicious code
  • Attempt to gain unauthorized access to the Service
  • Interfere with or disrupt the Service
  • Resell or redistribute the Service without permission
  • Use the Service to store or transmit illegal content

6. Data Ownership and Backup

6.1 Your Data

You retain all rights to your data. We claim no ownership over your content. You are responsible for the accuracy and legality of your data.

6.2 Backups

While we perform regular backups, you are responsible for maintaining your own backups. We are not liable for data loss.

6.3 Data Export

You may export your data at any time. Upon termination, we will provide a reasonable period to export your data.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Nebatech Software Solutions Ltd and are protected by international copyright, trademark, and other intellectual property laws.

8. Service Availability

8.1 Uptime

We strive for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be announced in advance when possible.

8.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice.

9. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "as is" without warranties of any kind
  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability shall not exceed the amount you paid in the past 12 months
  • We are not responsible for third-party services or integrations

10. Indemnification

You agree to indemnify and hold harmless Nebatech Software Solutions Ltd from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

11. Support and Maintenance

Support is provided via email and phone during business hours. Premium support packages may be available for additional fees.

12. Confidentiality

Both parties agree to keep confidential information private and not disclose it to third parties without consent.

13. Governing Law

These Terms shall be governed by the laws of Ghana. Any disputes shall be resolved in the courts of Ghana.

14. Changes to Terms

We may modify these Terms at any time. We will notify users of significant changes. Continued use of the Service after changes constitutes acceptance of the new Terms.

15. Termination

15.1 By You

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.

15.2 By Us

We may terminate your account for violation of these Terms or prolonged inactivity with reasonable notice.
